DOCUMENTS NEEDED FOR LEGAL ENTITY TO APPLY FOR LOAN OR GUARANTEE

1. Standard Application (form)

2. Foundation documents:
  • Agreement on the establishment of the company
  • Minutes of the foundation meeting or its substitute
  • Statement from Business Register
  • Statutes
  • Reference letter from a local self-government institution (only for agricultural loans)
  • Permits and Licenses for activity
  • Statement from the list of shareholders
3. Copy of the passport of the companys representative

4. Decision of the board in regard of the loan application and pledge available, as well as the power of attorney for signing the loan/pledge contract

5. Financial reporting:
  • Audited financial reporting for the last 3 years along with auditors opinion
  • Balance Sheets and Income Statements for passed quarters of the current year
  • Tax Departments reference confirming that company has no taxation debts
6. Business plan (for a long-term loan)

7. Grounds for loan arrangement (for a short-term loan)

8. Contracts related to the project to be guaranteed ( banking guarantee)

9. In case of property provision:
  • Reference from the related register or registration book confirming legal ownership for property to be used as a provision, every encumbrance included
  • Sales contract, acceptance report, leasing contracts, etc.
  • The decision of the owner to use property as a loan provision in writing
  • Appraisal report for the property, issued by an appraiser accepted by the bank
  • Insurance policy in the name of Tallinn Business Bank issued by the insurance company accepted by the bank ( to be issued within 10 days after signing the pledge contract )
10. In case of bail/guarantee (form):
      • Copy of the registration certificate of a guarantor
      • Copy of guarantors Statutes
      • Decision of guarantor to bail/guarantee in writing
      • Power of attorney for signing the bail/guarantee contract
      • Audited annual reports of a guarantor for the last 2 years
      • Balance Sheet and Income Statements of guarantor for the passed quarters of the current year
      • Copy of the passport of a private person being a guarantor
      • Questionnaire form filled in by a private person-guarantor
      • Income reference of a private person-guarantor for the last 6 months
The bank has right to request additional documents necessary for client solvency evaluation.
The bank has also right to ask for originals of the presented documents. The documents registered not in line with the banks requirements are to be considered as not presented. The bank is not to give any comments for not granting a loan/guarantee. The originals of documents submitted to the bank are to be returned to the Client. All other documents submitted along with an application are to be kept by the bank.
